Terms and Conditions, “Give50” Private Access Program

These Terms and Conditions govern participation in Holafly’s “Give50” Private Access Program, a limited, invite-only promotional program operated by Holafly Limited, a private limited company incorporated and registered in Ireland with company registration number 745325 and registered office at 6th Floor, 2 Grand Canal Square, Dublin 2, D02 A342, Ireland (“Holafly”, “we”, “us” or “our”).


By applying to, accepting an invitation to, sharing an invitation under, or otherwise participating in the Give50 Private Access Program, you agree to these Terms and Conditions.

These Terms and Conditions apply in addition to Holafly’s standard Terms and Conditions, Privacy Policy, and Cookies Policy. If there is any conflict between these Terms and Conditions and Holafly’s standard Terms and Conditions, these Terms and Conditions will apply only in relation to the Give50 Private Access Program.


1. Definitions


“Application” means the Holafly mobile application or other Holafly digital interface used to activate or manage an eSIM or program benefit.


“Benefit” means the promotional Give50 connectivity benefit described in Section 4.


“Data Plan” has the meaning given to it in Holafly’s standard Terms and Conditions.


“eSIM” has the meaning given to it in Holafly’s standard Terms and Conditions.


“Give50” or “Program” means the Give50 Private Access Program.


“Invitation” means a unique invitation, link, code, or other access mechanism issued by Holafly to a Referrer for private sharing with a potential Referee.


“Referee” means an individual who receives an Invitation from a Referrer and applies for access to the Program.


“Referrer” means an existing Holafly customer selected by Holafly to participate in the Program and receive Invitations to share.


“Service” has the meaning given to it in Holafly’s standard Terms and Conditions.


2. Nature of the Program


Give50 is a limited, invite-only promotional access program. It is intended to reward selected Holafly customers by giving them the ability to privately invite a limited number of people to request access to a promotional connectivity benefit.


The Program is separate from Holafly’s standard Travel Club, HolaCoins, cashback, and general referral programs. Unless expressly stated by Holafly, participation in Give50 does not entitle any participant to HolaCoins, cashback, cash rewards, discounts, commissions, or other monetary benefits.

Participation is subject to availability, eligibility verification, technical feasibility, fraud controls, network availability, and Holafly’s approval.


3. Eligibility


3.1 Referrers


Access as a Referrer is by direct invitation from Holafly only.


Holafly may select Referrers based on criteria determined by Holafly, including customer status, purchase history, usage profile, account standing, and participation in Holafly loyalty tiers.

Each Referrer will initially receive up to five (5) Invitations, unless Holafly communicates a different allocation.


Holafly may increase, reduce, suspend, or withdraw a Referrer’s Invitation allocation at any time where reasonably necessary to administer the Program, prevent abuse, manage capacity, or protect the quality of the Service.

Invitations are personal to the Referrer, have no cash value, are not transferable, and may not be sold, auctioned, bartered, exchanged, publicly distributed, or used for commercial purposes.


3.2 Referees


A Referee may be an existing Holafly customer or a new Holafly customer.

Receiving an Invitation does not guarantee access to the Program or activation of the Benefit. Each Referee must complete the required sign-up process and pass Holafly’s review and validation checks before any Benefit is activated.


Holafly may approve or reject any Referee application in its discretion, including where Holafly suspects fraud, abuse, duplicate participation, account manipulation, ineligibility, technical incompatibility, sanctions or legal restrictions, or misuse of the Program.


3.3 General Requirements


To participate, you must:

  1. be at least 18 years old or have the legal capacity required in your country of residence;

  2. have a valid Holafly account, if required by Holafly;

  3. provide accurate and complete information during sign-up;

  4. use an unlocked, eSIM-compatible device;

  5. comply with these Terms and Conditions, Holafly’s standard Terms and Conditions, and all applicable laws; and

  6. comply with any additional instructions provided by Holafly for Program activation or use.


4. Program Benefit


Subject to approval and activation, a Referee will receive the following promotional benefit:

Give50 Always On Benefit: a promotional allocation of fifty gigabytes (50 GB) of data over a twelve (12) month period, delivered through a specific eSIM configuration in the Application.


Unless Holafly communicates otherwise, the 50 GB allocation will be made available as follows:

  1. four gigabytes (4 GB) per month for the first ten (10) months; and

  2. five gigabytes (5 GB) per month for the final two (2) months.


Unused monthly data does not roll over to future months unless expressly confirmed by Holafly. The Benefit is for personal use only and may not be transferred, resold, converted into cash, exchanged for credit, redeemed for any other product, or combined with any other promotion unless expressly permitted by Holafly.


The Benefit is promotional and provided at no additional charge. It is not eligible for a refund, cash equivalent, compensation, or substitution.


5. Covered Destinations and Technical Availability


The Benefit is available only in destinations supported by Holafly for this Program. The list of covered destinations will be made available by Holafly through the relevant Program page, Application, account interface, or other official Holafly channel.


Holafly may update the list of covered destinations, network partners, technical configuration, activation method, delivery method, or data allocation mechanics where reasonably necessary to administer the Program, reflect network provider changes, address technical issues, manage capacity, improve user experience, or comply with applicable law.


The Service depends on third-party network providers, local network conditions, device compatibility, roaming availability, regulatory requirements, and other factors outside Holafly’s control. Holafly does not guarantee uninterrupted network capacity, network quality, speed, coverage, or connection availability.


6. Activation


A Referee’s Benefit will only begin once Holafly has approved the Referee and the Benefit has been activated in accordance with Holafly’s instructions.


Activation may require the Referee to download the Application, create or access a Holafly account, install an eSIM, accept applicable terms, and have a stable internet connection.


The Benefit period begins on the date the Benefit is activated, unless Holafly communicates a different start date.


7. 90-Day Purchase Requirement


To retain the Benefit beyond the initial review period, the Referee must complete at least one (1) qualifying purchase of a Holafly eSIM or other eligible Holafly product within ninety (90) calendar days after activation of the Benefit.


A qualifying purchase must be completed through a Holafly channel approved by Holafly and must not be cancelled, refunded, reversed, fraudulent, or otherwise invalid.


If the Referee completes a qualifying purchase within the 90-day period, the Referee will continue to receive the Benefit for the remainder of the applicable twelve (12) month Benefit period, subject to these Terms and Conditions.

If the Referee does not complete a qualifying purchase within the 90-day period, the Benefit will expire permanently, the Referee’s promotional access under the Program will end, and the Benefit cannot be reinstated.


Holafly may review Program eligibility manually or automatically at or after the 90-day mark.


8. Referrer Benefits


Referrers do not receive any monetary reward, cash payment, HolaCoins, commission, discount, or other financial benefit for sharing Invitations under the Program, unless Holafly expressly states otherwise in writing.


The benefit for Referrers is participation in the private access Program and the ability to share Invitations with selected personal contacts.


Holafly may, in its discretion, allocate additional Invitations to a Referrer based on Program performance, Program capacity, Referee quality, fraud controls, account standing, or other criteria determined by Holafly.


9. Program Integrity and Prohibited Conduct


The Program is intended for private, personal, one-to-one sharing only.


You must not:

  1. publish, post, distribute, or promote Invitations, links, or codes on public websites, coupon sites, forums, mass social media posts, paid advertising channels, marketplaces, or similar public channels;

  2. sell, resell, auction, barter, trade, commercialize, or otherwise monetize Invitations or access to the Program;

  3. create fake accounts, duplicate accounts, fictitious identities, automated sign-ups, bulk registrations, or self-referrals;

  4. use another person’s identity or account information;

  5. attempt to manipulate the Program, the approval process, the Application, or any Program metric;

  6. use the Benefit in a way that is fraudulent, unlawful, abusive, excessive, or harmful to Holafly, its network providers, other users, or the operation of the Service;

  7. interfere with the operation, fairness, integrity, or legitimate purpose of the Program; or

  8. breach Holafly’s standard Terms and Conditions.


10. Investigation, Suspension, and Disqualification


Holafly may monitor Program activity and investigate suspected fraud, abuse, misuse, technical manipulation, eligibility issues, or breach of these Terms and Conditions.


Where Holafly reasonably suspects a breach or misuse, Holafly may take one or more of the following actions:

  1. reject a Referee application;

  2. suspend or deactivate an Invitation;

  3. suspend or deactivate a Benefit;

  4. suspend or remove a participant from the Program;

  5. reduce or remove a Referrer’s remaining Invitations;

  6. disqualify a participant from current or future Holafly promotions;

  7. suspend or terminate access to the Service in accordance with Holafly’s standard Terms and Conditions; and

  8. take any other action reasonably necessary to protect Holafly, users, network providers, or the integrity of the Program.


Holafly may take these actions without prior notice where immediate action is needed to prevent fraud, misuse, harm, legal risk, or technical disruption.


11. Personal Data and Communications


Holafly will process personal data in connection with the Program to administer participation, review eligibility, activate and manage the Benefit, prevent fraud and abuse, provide customer support, send Program communications, monitor and improve the Program, and comply with applicable legal obligations.


Personal data will be processed in accordance with Holafly’s Privacy Policy. Cookies and similar technologies may be used in accordance with Holafly’s Cookies Policy.


By participating in the Program, you agree that Holafly may send you Program-related communications, including activation messages, eligibility notices, Benefit status updates, fraud-prevention communications, and changes to these Terms and Conditions.


You are responsible for keeping your Holafly account information and contact details accurate and up to date.


12. Relationship with Other Holafly Programs


Give50 is separate from the Holafly Travel Club, HolaCoins, cashback, general referral rewards, affiliate programs, creator programs, and other Holafly promotions.


Unless Holafly expressly states otherwise:

  1. Give50 Invitations do not generate HolaCoins, cashback, cash rewards, or referral rewards;

  2. the Benefit cannot be combined with other discounts, promotions, marketing codes, or rewards;

  3. the Benefit does not count as a paid subscription or paid Data Plan;

  4. the Benefit has no monetary value; and

  5. Program participation does not guarantee continued Platinum status, Travel Club status, or eligibility for any other Holafly benefit.


13. Changes to the Program


Holafly may modify, suspend, pause, limit, or terminate the Program in whole or in part, including the number of participants, eligibility criteria, Invitation allocation, approval process, covered destinations, technical configuration, delivery method, data allocation, and other Program mechanics.


Where required by applicable law, Holafly will provide notice of material changes through official Holafly channels.

Changes will not retroactively reduce a Benefit already activated for a participant who has satisfied the 90-day purchase requirement, except where the change is required by law, caused by fraud or abuse, required by network provider limitations, needed for technical or security reasons, or otherwise permitted by applicable law.


Holafly may pause onboarding, close applications, place users on a waitlist, or end the private launch phase at any time.


14. Availability, Device Compatibility, and Network Conditions


You are responsible for ensuring that your device is unlocked, eSIM-compatible, and capable of using the Service in the relevant destination.


The Benefit may not function in all locations, on all devices, or at all times. Availability may be affected by network coverage, network congestion, maintenance, local regulations, device settings, device compatibility, roaming restrictions, third-party network provider policies, fair use controls, physical obstructions, weather, or other factors outside Holafly’s control.


Holafly may apply reasonable technical controls, usage controls, or fair use measures to protect the Service, network partners, and other users.


15. Refunds and Cash Value


The Program is promotional and provided at no additional charge.


Invitations and Benefits have no cash value and are not refundable, transferable, exchangeable, or redeemable for cash, credit, HolaCoins, discounts, or other products or services.


If a Referee makes a qualifying purchase, refund rights for that purchase will be governed by Holafly’s standard Terms and Conditions and any applicable statutory consumer rights.


16. Participant Responsibilities


You agree to:

  1. provide accurate and complete information to Holafly;

  2. keep your account credentials secure;

  3. use the Program and Benefit only for lawful, personal, non-commercial purposes;

  4. comply with Holafly’s instructions for activation and use;

  5. comply with all applicable laws and regulations in the countries where you use the Service; and

  6. notify Holafly promptly if you believe an Invitation, account, or Benefit has been misused.


You are responsible for any activity carried out through your Holafly account, except to the extent caused by Holafly’s breach of applicable law or these Terms and Conditions.


17. Intellectual Property


All Holafly names, logos, trademarks, service marks, content, software, technology, interfaces, and Program materials are owned by or licensed to Holafly.


Participation in the Program does not grant you any rights in Holafly’s intellectual property, except for the limited right to use Program materials as expressly permitted by Holafly for private, personal sharing of Invitations.


18. Limitation of Liability


Nothing in these Terms and Conditions limits or excludes any liability that cannot be limited or excluded under applicable law, including any mandatory consumer rights.


To the extent permitted by law, Holafly will not be liable for any indirect, incidental, special, consequential, punitive, or economic loss, including loss of profit, loss of opportunity, loss of data, loss of goodwill, travel disruption, or loss arising from inability to access or use the Program or Benefit.


To the extent permitted by law, Holafly’s total liability arising out of or in connection with the Program will not exceed the greater of:

  1. the amount paid by the relevant participant to Holafly for the qualifying Data Plan or purchase directly giving rise to the claim; or

  2. €100.


19. Indemnity


To the extent permitted by law, you agree to indemnify Holafly, its affiliates, officers, employees, agents, partners, and service providers against losses, costs, claims, damages, liabilities, and expenses arising from:


  1. your breach of these Terms and Conditions;

  2. your misuse of the Program, Invitations, Benefit, eSIM, Application, or Service;

  3. fraudulent, unlawful, or abusive conduct by you; or

  4. your use of the Program otherwise than as permitted by these Terms and Conditions.


20. Governing Law and Jurisdiction


Except where applicable mandatory laws provide otherwise, these Terms and Conditions and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, are governed by the laws of Ireland.


Except where applicable mandatory laws provide otherwise, the courts of Ireland will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions, their subject matter, or their formation.


This Section does not affect any mandatory rights that may apply to consumers under applicable consumer protection laws.


21. Language


These Terms and Conditions may be made available in more than one language. If there is any inconsistency between the English version and any translated version, the English version will prevail to the extent permitted by applicable law.

Changes will not retroactively reduce a Benefit already activated for a participant who has satisfied the 90-day purchase requirement, except where the change is required by law, caused by fraud or abuse, required by network provider limitations, needed for technical or security reasons, or otherwise permitted by applicable law.


Holafly may pause onboarding, close applications, place users on a waitlist, or end the private launch phase at any time.


14. Availability, Device Compatibility, and Network Conditions


You are responsible for ensuring that your device is unlocked, eSIM-compatible, and capable of using the Service in the relevant destination.


The Benefit may not function in all locations, on all devices, or at all times. Availability may be affected by network coverage, network congestion, maintenance, local regulations, device settings, device compatibility, roaming restrictions, third-party network provider policies, fair use controls, physical obstructions, weather, or other factors outside Holafly’s control.


Holafly may apply reasonable technical controls, usage controls, or fair use measures to protect the Service, network partners, and other users.


15. Refunds and Cash Value


The Program is promotional and provided at no additional charge.


Invitations and Benefits have no cash value and are not refundable, transferable, exchangeable, or redeemable for cash, credit, HolaCoins, discounts, or other products or services.


If a Referee makes a qualifying purchase, refund rights for that purchase will be governed by Holafly’s standard Terms and Conditions and any applicable statutory consumer rights.


16. Participant Responsibilities


You agree to:

  1. provide accurate and complete information to Holafly;

  2. keep your account credentials secure;

  3. use the Program and Benefit only for lawful, personal, non-commercial purposes;

  4. comply with Holafly’s instructions for activation and use;

  5. comply with all applicable laws and regulations in the countries where you use the Service; and

  6. notify Holafly promptly if you believe an Invitation, account, or Benefit has been misused.


You are responsible for any activity carried out through your Holafly account, except to the extent caused by Holafly’s breach of applicable law or these Terms and Conditions.


17. Intellectual Property


All Holafly names, logos, trademarks, service marks, content, software, technology, interfaces, and Program materials are owned by or licensed to Holafly.


Participation in the Program does not grant you any rights in Holafly’s intellectual property, except for the limited right to use Program materials as expressly permitted by Holafly for private, personal sharing of Invitations.


18. Limitation of Liability


Nothing in these Terms and Conditions limits or excludes any liability that cannot be limited or excluded under applicable law, including any mandatory consumer rights.


To the extent permitted by law, Holafly will not be liable for any indirect, incidental, special, consequential, punitive, or economic loss, including loss of profit, loss of opportunity, loss of data, loss of goodwill, travel disruption, or loss arising from inability to access or use the Program or Benefit.


To the extent permitted by law, Holafly’s total liability arising out of or in connection with the Program will not exceed the greater of:

  1. the amount paid by the relevant participant to Holafly for the qualifying Data Plan or purchase directly giving rise to the claim; or

  2. €100.


19. Indemnity


To the extent permitted by law, you agree to indemnify Holafly, its affiliates, officers, employees, agents, partners, and service providers against losses, costs, claims, damages, liabilities, and expenses arising from:


  1. your breach of these Terms and Conditions;

  2. your misuse of the Program, Invitations, Benefit, eSIM, Application, or Service;

  3. fraudulent, unlawful, or abusive conduct by you; or

  4. your use of the Program otherwise than as permitted by these Terms and Conditions.


20. Governing Law and Jurisdiction


Except where applicable mandatory laws provide otherwise, these Terms and Conditions and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, are governed by the laws of Ireland.


Except where applicable mandatory laws provide otherwise, the courts of Ireland will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions, their subject matter, or their formation.


This Section does not affect any mandatory rights that may apply to consumers under applicable consumer protection laws.


21. Language


These Terms and Conditions may be made available in more than one language. If there is any inconsistency between the English version and any translated version, the English version will prevail to the extent permitted by applicable law.
